These Terms of Service ("Terms") govern access to and use of the AzislyLab platform ("Service"), operated by Azisly ("Azisly", "we", "us"). By signing an order form, invitation, or otherwise accessing the Service, the subscribing institution ("Customer") and its authorised users ("Users") agree to these Terms.
1. The Service
AzislyLab is a multi-tenant Training & Placement (T&P) workspace for Indian higher-education institutions. It provides notice management, activity reports, student directory administration, and related tools for placement cells and department administrators.
2. Accounts and access
Accounts are provisioned by Azisly or by a Customer's College Administrator via invitation. The Customer is responsible for the accuracy of information supplied during onboarding and for the actions of its Users. Credentials are personal and must not be shared.
Azisly may suspend an account that, in its reasonable judgement, is being used in violation of these Terms, applicable law, or in a manner that materially threatens the integrity of the Service.
3. Customer data
Customer Data — including student rosters, notices, and reports — remains the property of the Customer. Azisly processes Customer Data solely to provide the Service, in accordance with the Data Processing Agreement and Privacy Policy, and for no purpose unrelated to the services agreed with Customer. Azisly does not use Customer Data for marketing or advertising of any kind. Azisly does not sell Customer Data and may use it, in de-identified or aggregated form, to improve Azisly's own AI models, as described in the Privacy Policy.
4. Acceptable use
Users agree not to:
- upload content that is unlawful, defamatory, or infringes third-party rights;
- use the Service to send unsolicited commercial messages outside the institution;
- attempt to circumvent authentication, tenant isolation, or rate limits;
- reverse-engineer the Service except to the extent permitted by law;
- use the Service to build a competing product.
5. Fees and payment
Fees, billing cycle, and payment terms are set out in the applicable order form or invoice. Unless otherwise agreed in writing, fees are quoted in Indian Rupees and are exclusive of GST and other applicable taxes. Undisputed invoices are payable within 30 days of receipt.
6. Availability
Azisly targets commercially reasonable availability of the Service, excluding scheduled maintenance and events outside its reasonable control. Availability commitments, if any, are set out in the applicable order form. Azisly will use reasonable efforts to notify Customer of significant planned maintenance in advance.
7. Confidentiality
Each party will protect the other's Confidential Information using at least the same degree of care it uses for its own confidential information, and in no event less than a reasonable standard of care. This obligation survives termination for a period of three (3) years.
8. Intellectual property
The Service, including its software, design, and documentation, is and remains the intellectual property of Azisly. Nothing in these Terms transfers ownership of the Service to Customer. Feedback provided by Customer may be used by Azisly to improve the Service without obligation.
9. Warranties and disclaimers
Azisly warrants that the Service will be provided in a professional manner consistent with generally accepted industry standards. Except as expressly stated, the Service is provided "as is" and Azisly disclaims all other warranties, express or implied, to the maximum extent permitted by law.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising out of or relating to these Terms. Each party's aggregate liability arising out of these Terms will not exceed the fees paid by Customer to Azisly in the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply to: (a) either party's breach of its confidentiality obligations under Section 7; (b) Azisly's obligations under the Data Processing Agreement or applicable data protection law; or (c) either party's indemnification obligations, if any, set out in the applicable order form.
11. Term and termination
These Terms remain in effect for the subscription term set out in the order form and renew per its terms. Either party may terminate for material breach not cured within thirty (30) days of written notice. On termination, Customer may request an export of its Customer Data within thirty (30) days; thereafter, Azisly will delete Customer Data in accordance with the Data Processing Agreement.
12. Governing law and disputes
These Terms are governed by the laws of India. The courts at Gurugram, Haryana will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mutually agreed arbitration clause in the applicable order form.
13. Changes to these Terms
Azisly may update these Terms from time to time. Material changes will be communicated to Customer's primary administrative contact at least thirty (30) days before they take effect.
